Terms of Service

The rules of engagement for the agent commerce platform.

Acceptance of Terms

By accessing or using the 402.md platform ("Platform"), including the website, APIs, SDKs, dashboard, and marketplace (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

"You" refers to the individual or entity registering for or using the Services. "We," "us," and "our" refer to 402.md.

These Terms constitute a legally binding agreement between you and 402.md. By creating an account, publishing a skill, or processing a transaction through the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

Platform Description

402.md is an agent commerce infrastructure platform built on the x402 HTTP payment protocol. The Platform enables businesses ("Vendors") to accept payments from AI agents and human customers using USDC stablecoin on the Base L2 network.

The Platform provides:

  • Payment verification and processing via the x402 protocol
  • Escrow services with configurable hold periods
  • Automatic USDC settlement to vendor wallets
  • A public marketplace for skill discovery
  • Developer dashboard with analytics, transaction history, and settings management
  • SDKs and integration tools (gateway middleware, checkout widget, MCP tools)

The Platform supports multiple commerce modes: API pay-per-call, SaaS subscriptions, physical product sales, content paywalls, and one-time service payments.

Eligibility and Account Registration

To use the Services, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

When registering, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials, API keys, and wallet addresses. You must notify us immediately of any unauthorized use of your account.

API keys (prefixed sk_) are secret credentials displayed only once at creation. You are solely responsible for storing them securely. 402.md cannot recover lost API keys.

Vendor Obligations

As a vendor publishing skills on the Platform, you agree to:

  • Provide accurate descriptions of your skills, endpoints, and pricing in your SKILL.md documentation
  • Maintain the availability and functionality of your registered endpoints
  • Comply with all applicable laws and regulations in your jurisdiction
  • Not use the Platform to offer illegal, fraudulent, or deceptive services
  • Respond to refund requests in good faith during the applicable escrow hold period
  • Provide accurate wallet addresses for USDC settlements

You retain full ownership and responsibility for the services you offer through your skills. 402.md acts as a payment facilitator and marketplace, not as a provider of your services.

Agent and Buyer Usage

AI agents and human buyers ("Buyers") using the Platform to discover and purchase skills agree to:

  • Maintain sufficient USDC balance to complete transactions
  • Use purchased skills in accordance with each skill's terms and acceptable use policies
  • Not attempt to circumvent payment requirements
  • Not engage in abusive behavior toward vendor endpoints (excessive requests, DDoS, scraping beyond purchased access)

Transactions on the Platform are initiated via the x402 protocol. When an endpoint returns 402 Payment Required, the buyer must submit a valid USDC payment to proceed. All payments are verified on-chain before access is granted.

Fees, Payments, and Settlement

402.md charges a 3% platform fee on every transaction processed through the Platform. The remaining 97% is settled to the vendor's configured USDC wallet address.

Escrow and hold periods: All payments are held in escrow for a configurable period before settlement:

  • API pay-per-call: 0 hours (instant settlement)
  • Content paywalls: 0 hours (instant settlement)
  • SaaS subscriptions: 24 hours
  • One-time services: 48 hours
  • Physical products: 72 hours

Settlement: Settlements are processed automatically on the frequency you configure (daily, weekly, or monthly). The minimum payout threshold is $10.00 USDC. Gas fees for settlement transactions on Base L2 are covered by 402.md.

USDC stablecoin: All transactions on the Platform are denominated in USDC, a USD-pegged stablecoin issued by Circle. 402.md does not guarantee the value or stability of USDC. You acknowledge the inherent risks of using cryptocurrency, including potential regulatory changes.

Refunds: Refunds during the escrow hold period are at the vendor's discretion. USDC transactions are irreversible by design once settled. There are no chargebacks.

Developer Plans and Limits

The Platform offers the following plans:

  • FREE: Up to 1,000 transactions per month, basic analytics
  • PRO: Up to 50,000 transactions per month, advanced analytics, priority support
  • ENTERPRISE: Unlimited transactions, dedicated account manager, custom terms

Exceeding your plan's transaction limit may result in temporary throttling or suspension of service until the next billing period or plan upgrade.

Intellectual Property

You retain all intellectual property rights to the skills, content, and services you publish on the Platform. By publishing a skill, you grant 402.md a non-exclusive, worldwide license to display your skill's metadata, SKILL.md documentation, and public information in the marketplace for discovery purposes.

The 402.md name, logo, website design, and proprietary technology (including the x402 protocol implementation, SDKs, and dashboard) are owned by 402.md. The open-source components (SDKs, protocol specification) are governed by their respective licenses (MIT).

You must not use 402.md's trademarks in a way that suggests endorsement or affiliation without prior written consent.

Prohibited Conduct

You must not use the Platform to engage in any of the following:

  • Money laundering or terrorist financing
  • Fraud, deception, or misrepresentation of services
  • Distribution of malware, viruses, or malicious code
  • Unauthorized access to other users' accounts or data
  • Circumvention of Platform security measures or payment verification
  • Violations of applicable sanctions, export controls, or trade restrictions
  • Any activity that violates applicable law in your jurisdiction

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

402.md does not warrant that:

  • The Services will be uninterrupted or error-free
  • The Base L2 network or USDC stablecoin will function as expected
  • Third-party vendor skills will perform as described
  • Settlement transactions will be processed within specific timeframes

402.md is a payment facilitator and marketplace operator. We do not endorse, verify, or guarantee the quality, safety, or legality of skills listed on the marketplace.

Limitation of Liability

To the maximum extent permitted by applicable law, 402.md shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Services.

402.md's total aggregate liability for any claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to 402.md in the twelve (12) months preceding the claim.

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if 402.md has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless 402.md, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) the skills, content, or services you publish or offer through the Platform.

Termination

You may terminate your account at any time by contacting us. Upon termination, any pending settlements will be processed according to the standard settlement schedule, subject to the applicable escrow hold periods.

402.md may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, or if required by law. We will provide reasonable notice when possible, except in cases of serious violations or legal requirements.

Upon termination, your skills will be removed from the marketplace. Sections of these Terms that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will continue to apply.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or through a prominent notice on the Platform at least 30 days before the changes take effect.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the changes. If you disagree with the updated Terms, you must stop using the Services and terminate your account.

Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable law. Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction, as applicable.
